1 开发协议1

This development agreement (“Agreement”) is made at [ ] this [ ] day of [ ] Two Thousand and Fourteen

The Owner and the Developer are hereinafter collectively referred to as the “Parties” and individually as a “Party”. 业主及开发商以下统称为“订约方”,及分别被称为“一方”。

WHEREAS:-

of land admeasuring an area of 2.5 Acres located in Athi River, Nairobi, Kenya, as more particularly described in the Annexure A hereunder written and as delineated by red colour boundary line on the plan hereto annexed and marked as Annexure B (hereinafter referred to as “the said Property”); 1AZB Comment: We understand that this agreement is proposed to be executed in and governed by the laws of Kenya. As such, the draft would require to be vetted and confirmed by Kenyan counsel to ensure that the same complies with and in consonance with the laws of Kenya.

C. The Developer has independently verified and duly satisfied with the title of the Owner to the said Property.

D. The Developer has favorable advantages on investment and financing and capability of project development,

operation and management and has represented to the Owner that he has the necessary expertise to undertake/carry out the Project (as defined below) in the manner as set out herein;

开发商在投资和融资及项目开发、经营及管理能力方面具有有利优势并已向业主表明,其具有根据本文件内所载方式承担/实施项目(定义见下文)所需专有知识;

E. Pursuant to discussions and negotiations held between the Owner andtheDeveloperthey have agreed to

develop, on the said Property, a project comprising of [an urban complex in Nairobi and a new general office building integrating hotels, offices and apartments]2 on the said Property, together with such amenities and facilities as are commensurate to a project of this nature, and as more particularly set out in Annexure C hereto (“Project”) for the considerationand in the manner and on the terms and conditions mutually agreed upon by and between the Parties hereto;

F. The Parties are now desirous of recording the terms and conditions mutually agreed upon by and between them

as hereinafter appearing:

1.1.6. “FSI” shall stand for Floor Space Index;

1.1.7. “Gross Sale Proceeds”3 shall mean and refer to the total sum agreed by the Developer under any contract for

the sale of any unit / premises in the Project to a third party, but shall not include the following:

(i) All deposits collected from the prospective purchasers for payments to be made to the concerned

government, quasi-government bodies and local authorities;

(ii) Any deposit collected from the purchasers for payment to the relevant authority for availing

electricity;

formation, legal expense towards share money, corpus fund, maintenance deposit and / or monthly

maintenance charges;

(iv) Funds collected from the prospective purchasers towards various facilities such as gas pipeline, solar

system, cable TV, broadband facilities, security systems, club house membership charges, charges

for extra work / facilities if provided in the unit etc. which may be provided in the Project;

The amount collected from the purchasers for payment of stamp duty, registration fees and other

instruments, writings which are collected and recovered from the prospective purchasers; and(v) (vi)

1.1.8. “Master Plan” shall have the meaning as ascribed to it under Clause 8.1 below;

1.2.1 Headings are used for convenience only and shall not affect the interpretation of this Agreement.

plural and vice versa, and reference to any gender includes a reference to all other genders.

1.2.3 the words “hereof”, “herein” and “hereunder” and words of similar import, when used generally in this

1.2.7 reference to any legislation or law or to any provision thereof shall include references to any such law as it may,

after the date hereof, from time to time, be amended, supplemented or re-enacted, and any reference to statutory provision shall include any subordinate legislation rules and regulations framed there under from time to time under that provision and include any statutes and rules or regulations made or guidelines issued there under, and any other rules, regulations, guidelines, policy statements, orders or judgments having the force of law.

1.2.8 reference to the word “include” shall be construed without limitation.

The Owner hereby grants to the Developer and the Developer hereby accepts from the Owner all such rights and authority as are required to develop the Project on the said Property (“Development Rights”), strictly in accordance with the terms and conditions contained in this Agreement.

第六条 前期工作安排

合作开发项目的前期工作由甲方负责,包括但不限于以下各项:

(1)落实合作开发项目用地规划手续,获得合建项目占地的使用地规划批文,土地使用权人为甲方,土地使用不附带第三者的利益限制。

(2)落实合作开发项目占地的规划报建工作。

(3)完成合作开发项目规划用地的拆迁、安置及补偿工作,拆迁安置及补偿费用包含在总投资内。

(4)甲方负责合作项目的整体供水、污水处理、供电、安装、供气、通讯报装手续,甲方应负责合作项目的资源供应。

(5)甲方负责合作项目开工手续的办理,获得开工证,使合作项目可以合法开工建设。

第七条 承包发包工作安排

合作项目由第三方承包开发建设,在甲方办理前期手续时,乙方应给予必要协助。

第八条 工程管理

1.本协议签署后,甲乙双方各自委派专人共同组织合作项目工程关联办公室,具体协商工程管理、项目进展、人员联络、财务及工程进度安排。

2.管理办公室按前述第六条、第七条职责规定,具体协调、落实。

第九条 物业交付

1.合作开发物业应于竣工后交付使用,合作项目应取得《建设工程质量核验证书》。

2.合作开发物业竣工交付时,甲乙双方应共同参加承包商、设计单位的竣工验收。

第十条 产权确认与产权过户

1.本协议签署后应报送__________(合作项目主管机关)审批,以便按本协议规定

确定合作项目性质物业的产权归属,即甲方分得__________的产权,乙方分得

__________的产权。

2.按法律及政策规定,乙方分得物业时,相应分摊的国有土地应办理土地使用权变更登记手续,即将该片国有土地使用权人变更为乙方的手续。此项手续由甲方负责协调办理。

第十二条 保证

甲方:

1.甲方为一家依法设立并合法存续的企业,有权签署并有能力履行本合同。

3.在签署本合同时,任何法院、仲裁机构、行政机关或监管机构均未作出任何足以对甲方履行本合同产生重大不利影响的判决、裁定、裁决或具体行政行为。

乙方:

1.乙方为一家依法设立并合法存续的企业,有权签署并有能力履行本合同。

2.乙方签署和履行本合同所需的一切手续(__________)均已办妥并合法有效。

3.在签署本合同时,任何法院、仲裁机构、行政机关或监管机构均未作出任何足以对乙方履行本合同产生重大不利影响的判决、裁定、裁决或具体行政行为。

第十六条 保密

甲乙双方保证对在讨论、签订、执行本协议过程中所获悉的属于对方的且无法自公开渠道获得的文件及资料(包括商业秘密、公司计划、运营活动、财务信息、技术信息、经营信息及其他商业秘密)予以保密。未经该资料和文件的原提供方同意,另一方不得向任何第三方泄露该商业秘密的全部或部分内容。但法律、法规另有规定或双方另有约定的除外。保密期限为__________年。

第十七条 通知

1.根据本合同需要一方向另一方发出的全部通知以及双方的文件往来及与本合同有关的通知和要求等,必须用书面形式,可釆用__________(书信、传真、电报、当面送交等)方式传递。以上方式无法送达的,方可釆取公告送达的方式。

2.各方通讯地址如下:__________。

3.一方变更通知或通讯地址,应自变更之日起__________日内,以书面形式通知对方;否则,由未通知方承担由此而引起的相关责任。

第十八条 合同的变更

本合同履行期间,发生特殊情况时,甲、乙任何一方需变更本合同的,要求变更一方应及时书面通知对方,征得对方同意后,双方在规定的时限内(书面通知发出天

__________内)签订书面变更协议,该协议将成为合同不可分割的部分。未经双方签署书面文件,任何一方无权变更本合同,否则,由此造成对方的经济损失,由责任方承担。

第十九条 合同的转让

除合同中另有规定外或经双方协商同意外,本合同所规定双方的任何权利和义务,任何一方在未经征得另一方书面同意之前,不得转让给第三者。任何转让,未经另一方书面明确同意,均属无效。

第二十条 争议的处理

1.本合同受中华人民共和国法律管辖并按其进行解释。

2.本合同在履行过程中发生的争议,由双方当事人协商解决,也可由有关部门调解;协商或调解不成的,按下列第种方式解决:

(1)提交__________仲裁委员会仲裁;

(2)依法向人民法院起诉。

第二十一条 不可抗力

1.如果本合同任何一方因受不可抗力事件影响而未能履行其在本合同下的全部或部分义务,该义务的履行在不可抗力事件妨碍其履行期间应予中止。

2.声称受到不可抗力事件影响的一方应尽可能在最短的时间内通过书面形式将不可抗力事件的发生通知另一方,并在该不可抗力事件发生后日内向另一方提 供关于此种不可抗力事件及其持续时间的适当证据及合同不能履行或者需要延期履行的书面资料。声称不可抗力事件导致其对本合同的履行在客观上成为不可能或不实际的一方,有责任尽一切合理的努力消除或减轻此等不可抗力事件的影响。

3.不可抗力事件发生时,双方应立即通过友好协商决定如何执行本合同。不可抗力事件或其影响终止或消除后,双方须立即恢复履行各自在本合同项下的各项义务。如不可抗力及其影响无法终止或消除而致使合同任何一方丧失继续履行合同的能力,则双方 可协商解除合同或暂时延迟合同的履行,且遭遇不可抗力一方无须为此承担责任。当事人迟延履行后发生不可抗力的,不能免除责任。

4.本合同所称“不可抗力”是指受影响一方不能合理控制的,无法预料或即使可预料到也不可避免且无法克服,并于本合同签订日之后出现的,使该方对本合同全部或部分的履行在客观上成为不可能或不实际的任何事件。此等事件包括但不限于自然灾害如水灾、火灾、旱灾、台风、地震,以及社会事件如战争(不论曾否宣战)、动乱、罢工,政府行为或法律规定等。

第二十二条 合同的解释

本合同未尽事宜或条款内容不明确,合同双方当事人可以根据本合同的原则、合同的目的、交易习惯及关联条款的内容,按照通常理解对本合同作出合理解释。该解释具有约束力,除非解释与法律或本合同相抵触。

第二十三条 补充与附件

本合同未尽事宜,依照有关法律、法规执行,法律、法规未作规定的,甲乙双方可以达成书面补充合同。本合同的附件和补充合同均为本合同不可分割的组成部分,与本合同具有同等的法律效力。

第二十四条 合同的效力

1.本合同自双方或双方法定代表人或其授权代表人签字并加盖单位公章或合同专用章之日起生效。

2.有效期为______年,自_____年_____月_____日至_____年_____月_____日。

3.本合同正本一式_____份,双方各执_____份,具有同等法律效力。
